Re:    Representation and Guarantee, Undertaking to Indemnify

______________________________________ (the Client) hereby warrants and declares to DO Technical Services, Inc. that in connection with all material supplied to DO Technical Services, Inc. for reproduction and mastering, including audio or video tapes, computer data, computer software programs, graphic logos, pictures, and any other material, the client has the full and unfettered right to reproduce all of the material and DO Technical Services, Inc. is hereby authorized to reproduce for and on behalf of the Client all of the material.

The Client shall indemnify and hold DO Technical Services, Inc. harmless in the event of any breach or default by him of any of his representations and warranties herein set forth as well as from any suits, disputes, actions, or other legal proceedings initiated by any third parties in connection with the reproduction of the supplied material and shall pay any awards granted against DO Technical Services, Inc. and compensate DO Technical Services, Inc. for all legal fees and disbursements incurred in connection therewith.
